Constitution THE KATO CYCLE CLUB A.M.A. 453

Article No. I

This Club shall be known as the Kato Cycle Club.

.Article No. 2

Active members shall be male riders of motorcycles. Men actively connected with the trade, or motorcycle enthusiasts. Honorary members shall be women motorcycle riders, member’s wives, motorcycle enthusiasts, and such other persons as the Club may decide by a two thirds vote of those present at any regular meetings so to honor. Only active members shall be entitled to vote in Club affairs 9 to win any prizes on Club activities.

Article No. 3

The officers of the Club shall be a President, Vice-President, Secretary, Treasurer, Road Captain and Referee.

Article No. 4

The duties of the President shall be:

To preside at all meetings of the Club;

To have general supervision of the affairs of the Club;

To appoint any person to committees not otherwise ordered by the Club;

To personally represent the Club on proper occasions and business contracts;

To assist all other officers of the Club in their records, correspondence and other duties;

To promote Interest on the part of each member in Club life and activities;

 and to vote, only when one vote is necessary, to break a tie.

Article No. 5

The duties of the Vice-President shall be to perform the duties of the President in his absence.

Article No. 6

The duties of the Secretary shall be:

To keep a record of the meetings of the Club in the minute book provided for that

purpose;

To send out notices of regular or special meetings;

To handle all Club correspondence;

To perform such other duties as generally fall into that office.

Article No. 7

The duties of the Treasurer shall be:

To collect dues from all members;

To collect all other money due the Club;

To take all payments from Club funds when so ordered by the Club;

To keep an account of all Club money matters;

and to make a statement, of the Club funds, when called upon by the Club.

Article No.8

The duties of the Road Captain shall be:

To plan all Club tours, runs, activities, etc.;

To lead the Club in formation riding or parades;

To arouse interest in activities;

To assist in handling Club socials, parties and other functions;

and to enforce all rules of group riding.

Article No.9

The duties of the Referee shall be:

To have general supervision over sanctioned competition events, promoted by the Club. (The duties are completely outlined In the Competition Rule Book).

Article No.10

All elective officers shall be filled at an annual election to be held on the last Thursday of each year and all officers shall hold this office for one year or until their successors are elected and qualified.

Article No. 11

The regular meetings of the Club shall be held on each Thursday at 8.00 p.m., but the President may call a special meeting at any time by notifying the members in ample time to attend

Article No. 12.

Sixty percent of the active members in good standing shall constitute a quorum for the transaction of the Club business.

Article No. 13

This constitution may be amended or added to. The proposed amendment must be submitted in writing at a regular meeting. It shall then be posted on the bulletin board for two weeks and voted on at the next meeting. A two-thirds vote of all active members in good standing shall be required to pass an amendment.

Article No. 14 or (Amended Article No. 2)(Amended June. 1955)

Active members shall include women motorcycle riders, member’s wives, and female motorcycle enthusiasts. These women members will pay dues but have no vote in Club matters.

Article No. 15

The Board of Directors of the Kato Cycle Club Inc. shall be made up of members and past members of the Kato Cycle Club who have had six years of membership on the Kato Cycle Club and/or Kato Cycle Riders combined. The Board of Directors will decide any major policies of the Corporation regarding the land and how the land Is to be used. Any major decision which would change the status quo will be decided by the Board of Directors. If it shall become necessary to call a meeting, the current President, Secretary and Treasurer will represent the Club proper.

Article No.16

A member of the Kato Cycle Club in good standing for six years will then become a life member of the Club Board of Directors. Whether he chooses to remain active in the Club or become inactive he shall still become a member of the Board of Directors. In the case of a vote, regarding the sale, disposal or transfer of the land, (Gov’t Lot 2 of Section 31.108.27 west cart way, in Blue Earth County, MN.), a 100% vote in favor of the proposition by the Board of directors and the Club membership is needed to carry the proposition. Robert’s Rule of Order will govern the meetings in all other cases. Board members who have become inactive as Club members (Generally meaning not attending meetings or paying dues) will have no vote In Club matters. Board members shall be entitled to enjoy use of the land, the same as any active member.

Article No.16, (Amendment. October. 1956)

A member, of the Kato Cycle Club Inc., Charter No. 453, for 15 consecutive years, will become a Life Member of the Club. A life member shall have all privileges and rights of an active member, but not required to pay dues.

Article No.16, (Amendment May 8, 1986)

Active members shall include women motorcycle riders, member’s wives, and female motorcycle enthusiasts. These women will pay dues and will have a vote In Club matters.

A member of the Kato Cycle Club in good standing and active for 15 consecutive years will then become a Life Member of the Club Board of Directors
